NinjaOne SaaS Backup Fair Use Policy

1. Purpose
This Fair Use Policy (“Policy”) governs the SaaS Backup services offered, distributed, or resold by NinjaOne and its affiliates, including services branded as NinjaOne, Dropsuite, white-labeled, co-branded, or otherwise marketed under any successor or related brand (collectively, the “Services”).
For purposes of this Policy, “NinjaOne” refers to the entity providing the Services under the applicable customer agreement.
The Services are offered on a seat-based commercial model. While storage is not capped at the individual organization or tenant level, total storage usage is subject to an aggregate Customer-level allowance tied to the number of paid seats purchased.
This Policy explains how storage allowances are calculated, aggregated, and enforced to ensure fair access to shared infrastructure and alignment between purchased seats and overall storage consumption.
2. Scope and Applicability
For purposes of this Policy, “Customer” means:
- A direct internal IT customer purchasing the Services for its own organization; or
- A Managed Service Provider (MSP) purchasing or managing the Services on behalf of one or more end-user organizations, whether purchased directly from NinjaOne or through an authorized distributor.
For MSP arrangements, the MSP is the Customer for purposes of storage calculation, compliance, and enforcement under this Policy.
Where a direct internal IT customer maintains multiple organizations, tenants, instances, environments, or business units within the Services, all such entities and environments are aggregated and treated as a single Customer for purposes of seat counts, storage usage, and compliance with this Policy.
For storage aggregation and allowance calculation, “Customer” includes the contracting legal entity and any of its affiliates, subsidiaries, parent entities, or other controlled entities that access or use the Services under the same commercial relationship or billing arrangement.
3. Storage Model and Aggregation Methodology
3.1 Unlimited Storage at the Organization Level
NinjaOne does not impose fixed storage limits at the individual user, organization, tenant, or environment level. Storage is not capped per organization.
3.2 Aggregate Storage Allowance at the Customer Level
Total storage usage is governed at the aggregate Customer level.
Each paid seat includes an allowance of up to 250 GB of storage.
The Customer’s total storage allowance is calculated as: Total Paid Seats × 250 GB
For purposes of calculating compliance:
- Total Paid Seats means all paid seats purchased by the Customer.
- Total Storage Usage means all data stored across all organizations, tenants, instances, environments, and workloads under the Customer.
If Total Storage Usage exceeds the calculated aggregate allowance, the Customer is out of compliance with this Policy.
Example:
If a Customer purchases 100 paid seats, the total aggregate storage allowance is:
100 × 250 GB = 25,000 GB (25 TB)
If the Customer’s Total Storage Usage exceeds 25 TB, the Customer is out of compliance with this Policy.
4. Reasonable Use and Monitoring
NinjaOne may monitor seat counts, storage consumption, and usage patterns and may rely on system-reported metrics to determine and calculate compliance with this Policy.
Customers may not manipulate seat purchases, cancellations, reallocations, organizational structuring, or account configurations to artificially increase storage allowance or avoid compliance. NinjaOne may disregard temporary, artificial, or non-ordinary seat fluctuations when calculating aggregate storage allowance.
5. Non-Compliance
If a Customer is out of compliance or engages in unreasonable, abusive, or non-ordinary usage, NinjaOne may, in its discretion:
- Require corrective action, including purchase of additional seats or reduction of stored data;
- Require migration to an alternative pricing, packaging, or storage model;
- Limit or restrict storage usage;
- Suspend access to the Services; or
- Terminate the Services in accordance with the applicable agreement.
NinjaOne may invoice the Customer for additional seat licenses corresponding to historical excess storage usage where storage consumption exceeded the applicable aggregate allowance.
NinjaOne shall not be liable for any loss of data, business interruption, or other damages arising from actions taken in good faith to enforce this Policy.
6. Policy Updates
NinjaOne may modify this Fair Use Policy from time to time in its discretion. Updated versions will be posted at the applicable services website and will become effective on the date specified therein. Continued access to or use of the Services after the effective date constitutes acceptance of the updated Policy.
If the Customer does not agree to an updated Policy, its sole remedy is to discontinue use of the affected Services. For clarity, updates to this Policy do not provide the Customer with any right to terminate the underlying agreement governing the Services.
